Terms of Service
1. Introduction and Acceptance
Welcome to JooDesk.
JooDesk is a business management software platform being developed to help businesses organize and manage their business operations through digital tools and related services.
These Terms of Service (“Terms”) govern access to and use of the JooDesk website, pre-launch pages, waitlist, account-related features, software, and any other services that JooDesk makes available under these Terms (collectively, the “Services”).
By accessing or using a part of the Services, you acknowledge that these Terms apply to that use. Where applicable law requires affirmative consent or a particular method of acceptance, JooDesk will obtain or implement that consent as required.
If you do not agree to these Terms, do not use the Services.
If you use JooDesk on behalf of a business or organization, you represent that you have the authority to act for that organization and that your use complies with these Terms.
2. Pre-Launch Status and Availability
JooDesk may be in a pre-launch, testing, preview, beta, or limited-release stage.
During this period, certain pages, features, integrations, plans, or services may be incomplete, unavailable, changed, restricted, or discontinued. Joining a waitlist, creating an account, submitting an enquiry, or expressing interest does not guarantee access, a launch date, a particular place in a queue, a particular feature, or a commercial offer.
Any launch date, roadmap, feature description, pricing illustration, or future capability is informational unless JooDesk expressly confirms a binding commitment in a separate written agreement.
JooDesk will make reasonable efforts to communicate material changes where appropriate, but does not promise that every preview feature will be released or that every announced feature will be delivered on a particular date.
3. Eligibility and Authority
You may use the Services only if you are legally capable of entering into the relevant agreement under applicable law.
If you are below the age at which you can independently enter into a binding agreement, you must not independently enter into a paid subscription or other binding commercial arrangement. Any permitted use must have the involvement and authorization of a parent, guardian, or other legally authorized representative where required by law.
If you register or use JooDesk for a business, you must have the necessary authority to provide the business information and use the Services on its behalf.
You must provide information that is accurate to the best of your knowledge and keep it reasonably up to date where the Services require it.
4. Accounts and Account Security
Some Services may require an account. You are responsible for safeguarding your login credentials and for activity carried out through your account, subject to applicable law and any responsibility attributable to JooDesk.
You must not knowingly share credentials in a way that compromises account security, impersonate another person, provide misleading registration information, or access an account without authorization.
Notify JooDesk promptly if you suspect unauthorized access, misuse, or a security issue involving your account.
JooDesk may take reasonable steps to protect accounts, investigate suspected misuse, restrict access, or request information necessary to verify account ownership. Any restriction or suspension will be handled consistently with applicable law and any applicable contractual commitments.
5. Permitted Use and Prohibited Conduct
You may use the Services only for lawful purposes and in accordance with these Terms.
You must not:
- Use the Services to violate applicable law or another person's legal rights.
- Attempt unauthorized access to accounts, systems, infrastructure, or data.
- Interfere with the security, stability, or normal operation of the Services.
- Introduce malicious code, conduct unauthorized security testing, or distribute harmful software through the Services.
- Use the Services to commit fraud, impersonate another person, or misrepresent your authority.
- Upload or transmit content that you do not have the right to use or disclose.
- Scrape, copy, reverse engineer, or systematically extract information from the Services except where applicable law permits or JooDesk expressly authorizes the activity.
- Circumvent access restrictions, usage limits, or security controls.
- Use the Services to send unlawful, deceptive, abusive, or unauthorized communications.
- Resell, sublicense, or commercially exploit access to the Services in a manner not authorized by JooDesk.
This section does not prohibit lawful activity, legally protected conduct, or security research expressly authorized by JooDesk.
6. Customer Data and User Content
“Customer Data” means information, files, records, content, or other material that you or your authorized users submit to or manage through the Services.
As between you and JooDesk, you retain the rights you already hold in your Customer Data. You are responsible for ensuring that you have the rights, permissions, and lawful basis necessary to submit and use that data through the Services.
You authorize JooDesk to host, process, transmit, display, and otherwise handle Customer Data only as reasonably necessary to provide, maintain, protect, and support the Services, comply with legal obligations, and perform other activities you authorize or that are otherwise permitted by law.
You are responsible for the accuracy and lawfulness of your business records and for ensuring that your use of the Services does not unlawfully infringe the rights or privacy of employees, customers, suppliers, or other individuals.
You should not submit sensitive, confidential, or regulated information unless the relevant Service is designed and authorized to handle it appropriately.
JooDesk does not acquire ownership of your Customer Data merely because you use the Services.
Data handling, personal information, cookies, retention, and privacy requests are also addressed in the JooDesk Privacy Policy.
7. Intellectual Property
The JooDesk name, branding, logos, website design, software, source code, interface elements, documentation, and other JooDesk materials are owned by JooDesk or its respective licensors, except where otherwise stated.
Subject to these Terms, JooDesk grants you a limited, non-exclusive, non-transferable, revocable permission to access and use the publicly available Services for their intended lawful purpose.
Except where expressly permitted by JooDesk or applicable law, you must not copy, modify, distribute, sell, sublicense, or create derivative works from JooDesk materials, or use JooDesk branding in a way that suggests an affiliation or endorsement that does not exist.
These Terms do not transfer ownership of JooDesk intellectual property to you.
Any feedback or suggestions you voluntarily provide may be used by JooDesk to improve its Services, provided that doing so does not violate applicable law or override any separate written agreement.
8. Plans, Pricing, Subscriptions, and Payments
JooDesk may offer free features, paid subscriptions, usage-based services, or other commercial arrangements in the future.
A plan, price, feature limit, billing interval, trial, discount, or promotional offer is binding only when it is clearly presented and applicable to the relevant offer or confirmed in an applicable written agreement.
Before making a payment, you should review the applicable plan description, total price, billing interval, applicable taxes, renewal conditions, cancellation terms, and any refund conditions disclosed at the point of purchase.
Unless expressly disclosed and lawfully agreed for a specific offer, these Terms do not create an automatic promise of a free trial, refund, discount, fixed price, or lifetime access.
If subscription billing becomes available, additional plan-specific terms may apply. Such terms must be disclosed before or at the time they become binding and will be read together with these Terms.
JooDesk will not use this section to remove any refund, cancellation, disclosure, or other right that applicable law grants to a customer.
9. Third-Party Services
Some Services may rely on or link to third-party websites, hosting providers, authentication services, storage providers, communication services, or payment processors.
Third-party services may have their own terms, privacy policies, availability limitations, and security practices.
JooDesk is not responsible for matters outside its reasonable control, but this does not exclude responsibility that applicable law assigns to JooDesk or responsibility arising from JooDesk's own acts or omissions.
A link to a third-party service does not necessarily mean that JooDesk endorses that service.
10. Service Changes, Maintenance, and Availability
JooDesk may update, improve, maintain, restrict, suspend, or discontinue parts of the Services for technical, operational, security, legal, or business reasons.
Where reasonably practicable, JooDesk may provide advance notice of material changes that significantly affect an active paid service. Emergency maintenance, security incidents, legal requirements, and circumstances outside reasonable control may require immediate action.
JooDesk does not guarantee uninterrupted availability, error-free operation, or that every feature will remain unchanged. Any specific availability or support commitment must be set out in a separate applicable agreement.
Nothing in this section removes any mandatory obligation or remedy available under applicable law.
11. Suspension and Termination
You may stop using the public website or other Services at any time. If account deletion, subscription cancellation, or another account-management feature is available, you should follow the applicable instructions or contact JooDesk for assistance.
JooDesk may suspend or restrict access where reasonably necessary to address suspected fraud, security threats, unlawful activity, material breaches of these Terms, non-payment of an amount properly due, or other legitimate operational or legal reasons.
Where appropriate and legally permissible, JooDesk will provide notice and a reasonable opportunity to resolve the issue before taking action. Immediate action may be necessary in urgent cases involving security, serious misuse, or legal obligations.
Termination or suspension does not remove rights or obligations that arose before it took effect. Any handling of Customer Data following termination will be governed by the Privacy Policy, applicable service terms, and applicable law.
Where required by law or an applicable agreement, JooDesk will provide relevant information about the consequences of termination and available remedies.
12. Disclaimers and Limitations of Liability
To the extent permitted by applicable law, the Services are provided according to their actual stage of development and the features expressly made available to you.
JooDesk does not warrant that every Service will meet every business requirement, operate without interruption, or be free from every defect. Nothing in these Terms excludes a warranty, representation, or obligation that cannot lawfully be excluded.
You remain responsible for maintaining appropriate copies of important business information where reasonably necessary and for reviewing important business decisions rather than relying solely on automated software outputs.
To the extent permitted by applicable law, JooDesk will not be liable for indirect or consequential losses that are not legally recoverable, including losses arising from circumstances outside its reasonable control.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, liability that cannot legally be excluded or limited, or any statutory right or remedy that applicable law protects.
Any additional limitation of liability for a paid business service must be clear, reasonable, and consistent with applicable law and any separate agreement governing that service.
13. Indemnity
Where permitted by applicable law, you may be responsible for reasonable losses, claims, or costs directly resulting from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person's rights.
This provision does not require you to indemnify JooDesk for losses caused by JooDesk's own unlawful conduct, negligence where liability cannot lawfully be excluded, breach of its legal obligations, or other circumstances for which applicable law prevents such an allocation of responsibility.
Any indemnity obligation will be interpreted only to the extent it is lawful and enforceable in the circumstances.
14. Privacy and Data Protection
Your use of the Services is also governed by the JooDesk Privacy Policy, which explains how personal information may be collected, used, stored, disclosed, and retained.
You should review the Privacy Policy before submitting personal information through the website or using account-related features.
JooDesk will handle personal information in accordance with its published Privacy Policy and applicable data-protection laws, to the extent those laws apply.
If these Terms and the Privacy Policy address different subjects, each document applies to its relevant subject. Neither document overrides mandatory legal requirements.
15. Changes to These Terms
JooDesk may update these Terms to reflect changes to the Services, business operations, security practices, or applicable law.
The “Last Updated” date will be revised when the Terms are changed. Where required by law or where a change materially affects an existing contractual relationship, JooDesk will provide appropriate notice or obtain consent where necessary.
Changes will not retroactively remove rights that have already accrued or override a separate agreement unless legally permitted.
If you continue using the Services after an update becomes effective, the updated Terms will apply to future use to the extent permitted by law and subject to any required acceptance process.
16. Governing Law and Disputes
These Terms are intended to be governed by the laws of India, subject to applicable conflict-of-law principles and mandatory legal protections.
If you have a concern or dispute, please contact JooDesk first so that the matter can be reviewed and, where possible, resolved informally.
Nothing in this section prevents either party from pursuing remedies available under applicable law, approaching a competent consumer authority or court where entitled to do so, or exercising any non-waivable statutory right.
Any question of jurisdiction will be determined under applicable law. These Terms do not create an exclusive court jurisdiction or mandatory arbitration arrangement without a properly established and legally enforceable agreement.
17. General Provisions and Contact
If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure to enforce a provision on one occasion does not automatically waive the right to enforce it later.
These Terms, together with applicable plan-specific terms and any separate written agreement that expressly applies, govern the subject matter they address. If a specific written agreement conflicts with these Terms, the specific agreement will prevail only to the extent it expressly addresses that conflict and is legally enforceable.
